SUMMARY:Centennial Speaker Series: James Park on The Valuation Treadmill: How Securities Fraud Threatens the Integrity of Public Companies
DESCRIPTION:Join us for a lunchtime talk with UCLA Law professor James Park\, author of the forthcoming book The Valuation Treadmill: How Securities Fraud Threatens the Integrity of Public Companies\, who will discuss the history of securities fraud regulation from the 1960s until the present. \nPublic companies now face constant pressure to meet investor expectations. The typical public company must continually deliver strong short-term performance every quarter to maintain its stock price. This valuation treadmill creates incentives for corporations to deceive investors. Published 20 years after the passage of Sarbanes-Oxley\, which requires all public companies to invest in measures to ensure the accuracy of their disclosures\, The Valuation Treadmill shows how securities fraud became a major regulatory concern. Drawing on case studies of paradigmatic securities enforcement actions involving Xerox\, Penn Central\, Apple\, Enron\, Citigroup\, and General Electric\, the book argues that corporate securities fraud emerged as investors increasingly valued companies based on their future performance. Corporations now have an incentive to issue unrealistically optimistic disclosure to convince markets that their success will continue. Edenbrook takes a private equity approach to public markets\, principally through concentrated\, long-term investments in small- and mid-cap companies. This approach involves identifying equities that are undervalued on a fundamental basis\, performing intensive research on companies and industries\, understanding existing and potential levers for creating value\, and collaborating with management teams and/or other constituents to unlock shareholder value over a multiyear period. Brolin currently serves on the board of directors of Frequency Electronics Inc. and CXO Nexus Inc. \nBrolin has 25 years of experience in public and private equity investing and investment banking. In addition\, he serves as a fellow at the Gabelli Center for Global Security Analysis and taught Advanced Topics in Value Investing for seven years as an adjunct professor of finance at the Gabelli School of Business. He earned his M.B.A. from Columbia Business School\, where he was a member of the Beta Gamma Sigma honor society.  Brolin earned his B.A. from the University of Pennsylvania\, where he was a Benjamin Franklin Scholar and general honors student. When he’s not searching for value\, he can be found watching\, coaching\, playing\, or thinking about baseball. \nRoy Behren is co-president and co-chief investment officer at Westchester Capital Management LLC\, an investment management affiliate of Virtus Investment Partners. Behren is also a co-portfolio manager at both Westchester and its affiliate Westchester Capital Partners LLC. \nHe was named managing partner of Westchester in 2010\, having held the role of chief compliance officer from September 2002 through June 2010. He joined Westchester in 1994 from the U.S. Securities and Exchange Commission’s New York Regional Office\, where he worked as an enforcement attorney for seven years. He also served as a member of Redback Networks’ board of directors and its audit committee from 2004 through 2006. \nBehren earned a B.S. in economics at The Wharton School\, a J.D. from the University of Miami Law School\, and an LL.M. in corporate law from the New York University School of Law. SUMMARY:IPED Lecture Series 2022-2023: A More Just Economic System
DESCRIPTION:A growing chorus of economists and politicians is demanding a new paradigm to create a global economy for the common good. In his recent book Cathonomics\, Anthony M. Annett unites insights in economics with those from theology\, philosophy\, climate science\, and psychology\, exposing the failures of neoliberalism while offering us a new model rooted in the wisdom of Catholic social teaching and classical ethical traditions. Drawing from the work of Pope Leo XIII\, Pope Francis\, Thomas Aquinas\, and Aristotle\, Annett applies these teachings to discuss current economic challenges such as inequality\, unemployment and underemployment\, climate change\, and the roles of business and finance. \nAnnett is a Gabelli fellow at Fordham University and a senior adviser at the Sustainable Development Solutions Network. He has a Ph.D. in economics from Columbia University and spent two decades at the International Monetary Fund\, where he worked as a speechwriter to the managing director. He is also a member of the College of Fellows of the Dominican School of Philosophy and Theology.
